Vital Grow Inc. Limited Warranty Agreement
Limited Warranty
[Vital Grow Inc.] (“Company”) warrants to the original purchaser (“Purchaser”) that the (Smart Compost Thermometer, Ambient Conditions Sensor, or Gateway) (“Product”) shall be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of purchase (“Warranty Period”).
Warranty Coverage
This Limited Warranty covers the following aspects of the Product under normal use during the Warranty Period:
a. Defects in materials and workmanship, ensuring the Product is free from manufacturing defects and built to perform its intended function.
b. Electronics functionality, including the Product’s radio, battery, and any sensors or components that are critical to its operation.
c. Software and firmware, ensuring that the Product’s software and firmware are free from bugs or other issues that could impact its functionality.
The Company may, at its sole discretion, either repair or replace the defective Product or part thereof with a new or refurbished equivalent during the Warranty Period. The Company reserves the right to charge the Purchaser for warranty service, including but not limited to, labor, shipping, replacement, or other related fees, as determined by the Company.
Warranty Exclusions
This Limited Warranty does not cover:
a. Damage resulting from moisture, including but not limited to water damage, humidity, or condensation, unless the Purchaser strictly follows the Company’s recommendations for proper use and maintenance of the Product.
b. Damage resulting from theft, severe weather, abuse, negligence, accidents, unauthorized repairs or modifications, or any other external factors beyond the Company’s control.
c. Normal wear and tear, cosmetic damage, or damage to any non-functional parts of the Product.
d. Any Product that has been resold, transferred, or otherwise disposed of by the original Purchaser.
Warranty Service and Fees
In order to obtain warranty service, the Purchaser must contact the Company’s Customer Support within the Warranty Period, provide proof of purchase, and obtain a Return Material Authorization (RMA) number. The Purchaser shall be responsible for shipping the Product to the Company’s designated service center. The Company may, at its discretion, charge the Purchaser for warranty service, shipping, replacement, or other related fees.
Limitation of Liability
The Company’s liability under this Limited Warranty shall be limited to the repair or replacement of the defective Product or part thereof. In no event shall the Company be liable for any special, incidental, indirect, or consequential damages, loss of profits or revenue, or any other damages arising out of or in connection with the Product, even if the Company has been advised of the possibility of such damages.
Governing Law
This Limited Warranty shall be governed by and construed in accordance with the laws of the [State/Province/Country], without regard to its conflicts of law principles. Any legal action or proceeding arising out of or in connection with this Limited Warranty shall be brought exclusively in the courts located in [City, State/Province/Country].
Severability
If any provision of this Limited Warranty is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
This Limited Warranty constitutes the entire agreement between the Company and the Purchaser concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written, between the parties relating thereto.
